I. IDENTIFICATION AND CONTACT INFORMATION

STECKELMACHER-PLISNIER LOCOMOTION SRL (hereinafter "SP-LOCOMOTION") is a company active in the design, development, manufacturing, and marketing of consumer electronic products.

These General Terms and Conditions govern the Products offered for Pre-order by SP-LOCOMOTION on the website https://www.koumkoum.be.

II. PURPOSE AND SCOPE OF THE GENERAL TERMS AND CONDITIONS

Article 1 - Definitions

1.1 The terms defined below, when used with an initial capital letter, whether singular or plural, shall have the following respective meanings:

  • "Client" refers to any natural or legal person placing a Pre-order for a Product on the Website, whether a Consumer or a person acting in a professional context.
  • "General Terms and Conditions" refers to this document governing the contractual relationship between SP-LOCOMOTION and the Client in connection with the Pre-order of Products on the Website.
  • "Consumer" refers to any natural person acting for purposes outside their commercial, industrial, artisanal, independent, or agricultural activities, in accordance with Belgian economic law.
  • "Force majeure" refers to any event beyond SP-LOCOMOTION's reasonable control, making performance of its contractual obligations impossible or abnormally difficult. Examples include, but are not limited to: natural disasters, fires, floods, pandemics, acts of war or terrorism, insurrections, strikes, power outages, failures of essential networks, and any other unforeseeable and irresistible circumstance under Belgian law.
  • "Party" refers to either of the two Parties to these General Terms and Conditions;
  • "Parties" refers to the Parties to these General Terms and Conditions;
  • "Pre-order" refers to the process by which the Client selects and reserves one or more Products before they are available, for deferred delivery. Products offered for Pre-order are available only during the announced Pre-order period, and possibly subject to a minimum number of Pre-orders required to launch production.
    The Pre-order is finalized when the Client has selected the Products, provided delivery information, validated these General Terms and Conditions, and completed payment. Once finalized, the Pre-order is processed by SP-LOCOMOTION, which proceeds with production (if applicable) and then delivers the Products in accordance with these General Terms and Conditions.
  • "Product" refers to any tangible good marketed by SP-LOCOMOTION via the Website, including electric roller skates sold under the "KoumKoum" brand, as well as their accessories and packaging.
  • "Website" refers to the website accessible at www.koumkoum.be, operated by SP-LOCOMOTION.

1.2 Terms not defined in these General Terms and Conditions shall be interpreted according to their common meaning.

1.3 Unless otherwise stated, lists appearing in these General Terms and Conditions are for illustrative purposes and are never exhaustive.

Article 2 – Application and Enforceability of the T&Cs

2.1 These General Terms and Conditions apply to any Pre-order of Products placed by a Client on the Website. They exclusively govern the contractual relationship between SP-LOCOMOTION and the Client and prevail over any other general or specific conditions communicated by the Client, unless expressly and in writing accepted by SP-LOCOMOTION.

2.2 The General Terms and Conditions are accessible at any time by the Client, notably via the "Terms and Conditions" tab located at the bottom of the Website, and at the latest within the Pre-order form.

2.3 When placing a Pre-order, the Client is required to carefully read the General Terms and Conditions and accept them by checking the box "I have read and accept the General Terms and Conditions." This validation click constitutes electronic contractual value and proves that the Client has acknowledged all these General Terms and Conditions and the obligations arising from them.

2.4 To be eligible for Pre-order, the Client must have full legal capacity to contract and have reached the legal age of majority in their country of residence. If not, the Pre-order shall be deemed null and void, unless prior express authorization is given by the Client’s legal representative.

2.5 These General Terms and Conditions are concluded and remain in force for the duration of the execution of any Pre-order made based on these General Terms and Conditions.

2.6 SP-LOCOMOTION reserves the right, at any time, to make any changes to the General Terms and Conditions it deems necessary and useful, particularly to adapt to regulatory, legislative, and jurisprudential developments, as well as changes to the Website and the Products offered on it. These changes will not affect Pre-orders already placed, which remain governed by the General Terms and Conditions in the version in effect at the time of Pre-order validation.

III. PRE-CONTRACTUAL INFORMATION

Article 3 – Products

3.1 Unless otherwise expressly stated, the Products offered for Pre-order are those listed on the Website on the date the Client places the Pre-order. Each Product is accompanied by a description prepared by SP-LOCOMOTION, detailing its essential characteristics, nature, purpose, and, if applicable, usage restrictions. The Client acknowledges that these descriptions are provided for information only and have no contractual value, and therefore cannot bind SP-LOCOMOTION in any way.

3.2 Photographs, videos, mock-ups, drawings, or other visual materials presented on the Website or in any SP-LOCOMOTION communication medium are for illustrative purposes only. Although SP-LOCOMOTION strives to provide an accurate representation of the Products, these representations are not contractual and cannot guarantee perfect similarity with the actual delivered product.

3.3 Technical specifications, features, materials, dimensions, colors, packaging, and/or product presentation may change during the design, manufacturing, and production process. SP-LOCOMOTION therefore reserves the right to modify, correct, or withdraw any part of its Product offering at any time and without prior notice, without liability.

3.4 Pre-order offers are valid only within the limits of available quantities and the Pre-order period. In case of permanent unavailability of the Pre-ordered Product, SP-LOCOMOTION will make every effort to inform the Client as soon as possible. The Client may then choose between (i) a full refund of the amounts paid or (ii) accepting an alternative solution proposed by SP-LOCOMOTION.

Article 4 – Pricing

4.1 Prices displayed for Products offered by SP-LOCOMOTION, regardless of the medium (Website, catalog, etc.), may be modified without notice by SP-LOCOMOTION. These changes will not affect Pre-orders already validated.

4.2 Unless otherwise stated, prices are in euros and include Belgian value-added tax (VAT) applicable at the time of Pre-order. However, the applicable VAT rate (and therefore the total price of the Product) may vary depending on the delivery address provided by the Client at the time of Pre-order.

4.3 The price displayed for a Product covers exclusively the elements specifically mentioned in the Product description.

4.4 Prices indicated exclude delivery charges, which are added during the Pre-order process.

4.5 Under no circumstances may the amounts paid be considered deposits or advance payments.

Article 5 – Taxes

5.1 Products offered by SP-LOCOMOTION are subject to value-added tax (VAT) according to the rules applicable at the delivery location.

Several cases apply:

  • For Clients whose delivery address is in Belgium, Belgian VAT applicable at the time of Pre-order is applied.
  • For Clients located in another EU Member State, the applicable VAT is that of the delivery country.

IV. PLACING THE PRE-ORDER

Article 6 – Pre-order Process

6.1 Client identification and information

6.1.1 To place a Pre-order, the Client may choose between two options:

(i) Creating a customer account:

The Client registers on the Website by providing their name, first name, email address, and creating a password. Once the account is activated, the Client can log in and complete the information required for the Pre-order (see article 6.2).

(ii) Pre-ordering as a guest:

The Client may place a Pre-order without creating an account by directly filling out the Pre-order form with all requested and necessary information for processing the Pre-order (see article 6.2).

6.1.2 Regardless of the chosen method (account or guest), the Client must provide the following information, required for processing and tracking the Pre-order:

  • Name and first name
  • Email address
  • Phone number
  • Full billing address: street, number, postal code, city, country, state/province
  • Full delivery address (if different from billing address)
  • Company name and VAT number (if applicable)

6.1.3 The Client agrees to provide accurate, complete, and up-to-date information. SP-LOCOMOTION cannot be held responsible for consequences arising from incorrect, incomplete, or outdated information provided by the Client, particularly in cases of delivery delays or impossibility.

6.2. Placing and Validating a Pre-order

6.2.1 Placing a Pre-order on the Website requires reading and accepting these General Terms and Conditions, confirmed by clicking the box "I have read and accept the General Terms and Conditions," and validating the Pre-order by clicking the "Confirm My Pre-order" button. This electronic click constitutes firm acceptance of the offer issued by SP-LOCOMOTION and results in a contract between the Parties.

6.2.2 Before finalizing the Pre-order, the Client is prompted to verify the accuracy of the provided information and correct any errors if necessary. The Client then selects their delivery method (Bpost for Belgium or "Bpost Around Belgium" for neighboring countries), followed by their payment method.

6.2.3 Once payment is validated, a confirmation email is sent to the Client at the email address they provided during the Pre-order. This confirmation includes, among other details, the Pre-order number, a description of the ordered Products, the delivery address provided by the Client, and an estimated delivery date.

Article 7 – Payment

7.1 Products are payable in euros at the time of placing the Pre-order. The Pre-order will only be considered final after SP-LOCOMOTION has received payment. No Product will be reserved or held pending payment.

7.2 Payment can be made by credit card only. The Client is redirected to the secure interface of the payment service provider Mollie BV. The Client must then enter the following information: card number, cardholder name, expiration date, and visual cryptogram (CVV). Once these details are validated and the bank authentication process finalized, payment is processed by Mollie. The Client is then redirected back to the Website and the Pre-order is confirmed.

7.3 Accepted credit cards are: Mastercard, Visa, American Express, and Discover Card.

7.4 Payment processing and security for credit card payments are handled by Mollie BV acting as payment service provider. SP-LOCOMOTION never has access to the Client's banking data, which is encrypted and transmitted securely directly to Mollie BV. SP-LOCOMOTION disclaims any responsibility for incidents related to the management or securing of these data by Mollie BV (leaks, hacking, unauthorized access, technical errors, or malicious acts). In case of payment issues, the Client is advised to contact Mollie BV directly and to consult the general terms applicable to their services. It is also the responsibility of the Client to ensure their computer equipment is properly secured to prevent intrusion or hacking risks.

Article 8 – Billing

8.1 The invoice corresponding to the Pre-order is sent to the Client by email to the address provided during the Pre-order. The applicable VAT is determined according to the rules in force at the delivery location of the Products. For deliveries within Belgium, Belgian VAT is applied at the rate in effect at the time of Pre-order. For deliveries to another EU Member State, the VAT of the delivery country is applied. If the invoice is not received, the Client is advised to contact SP-LOCOMOTION within a reasonable timeframe at: info@sp-locomotion.com.

8.2 In case of payment default or refusal of payment authorization by the Client's financial institution, SP-LOCOMOTION reserves the right to suspend or cancel the Pre-order.

V. EXECUTION OF THE PRE-ORDER

Article 9 – Delivery and Receipt of Products

9.1 Geographic Area

9.1.1 Products are delivered exclusively within the areas indicated on the Website during the Pre-order process (Belgium and certain neighboring countries). Deliveries outside these areas are excluded unless expressly agreed in writing by SP-LOCOMOTION.

9.1.2 Products are delivered to the delivery address indicated by the Client when placing the Pre-order.

9.2 Delivery Times

9.2.1 The estimated delivery time appears on the product page at the time of Pre-order validation and in the Pre-order confirmation email.

In any case, the Client will be informed via email of the definitive delivery schedule for the Pre-ordered Products and execution of their Pre-order, once production is complete.

9.2.2 In case of delay or change in availability schedule, SP-LOCOMOTION will make every effort to inform the Client as soon as possible. SP-LOCOMOTION cannot in any case be held liable for losses, damages, or indirect expenses related to a delay. However, the Client retains the right to request a full refund of the amounts paid in case of significant delay or cancellation of production.

9.2.3 Upon delivery of the Product, SP-LOCOMOTION cannot be held liable for consequences due to delivery delays not caused by SP-LOCOMOTION or due to Force majeure events.

9.3 Transfer of Ownership and Risk

9.3.1 Ownership of the Products transfers to the Client upon their actual delivery, subject to full payment of the price.

9.3.2 Products travel at SP-LOCOMOTION's risk until they are effectively handed over to the Client or a person designated by the Client for delivery. From this handover, all risks (loss, damage, etc.) are transferred to the Client.

9.4 Receipt of Products

9.4.1 At delivery, the Client, their representative, or any designated person must verify the accuracy of information on the delivery slip and the apparent condition of the package and packaging.

9.4.2 In case of damage or non-conformity, the Client must immediately report it in writing on the carrier's delivery slip and inform SP-LOCOMOTION within three (3) business days by email to the address info@sp-locomotion.com.

9.4.3 Failure to make reservations within this timeframe means the delivered Product is deemed conforming, subject to the application of warranty provisions.

VI. RIGHT TO WITHDRAW, CANCELLATION, AND WARRANTIES

Article 10 – Right to Withdraw

10.1 In accordance with the Belgian Economic Code, the Consumer Client has a minimum legal withdrawal period of fourteen (14) days to exercise their right to withdraw without justification or penalty. This right may be exercised by the Client throughout the Pre-order period and, if the Product is delivered, the 14-day period starts from the actual receipt of the Products by the Client.

10.2 The Client may exercise their right to withdraw by sending an email to info@sp-locomotion.com.

10.3 When the right to withdraw is exercised during the Pre-order period, i.e., before Product delivery, the Client will be fully refunded within fourteen (14) days from notification of their withdrawal decision.

10.4 When the right to withdraw is exercised after delivery of the Products, the Client must return the Products in their original packaging, complete, and undamaged. The Client may handle and inspect the Product to verify its nature, characteristics, and proper functioning, as they might in a store. Any use exceeding this verification and causing depreciation of the Product may result in a proportional deduction from the refund according to the Belgian Economic Code.

The return must occur within a maximum period of fourteen (14) days following communication of the withdrawal decision. Return costs are borne by SP-LOCOMOTION, and the full refund, including initial delivery charges, will be issued within fourteen (14) days from SP-LOCOMOTION receiving the returned Product.

10.5 Professional Clients do not benefit from the right to withdraw after Product delivery. However, as an exception, they have a right to withdraw during the Pre-order period, i.e., until delivery of the Products. In this case, the full refund of amounts paid will be processed within fourteen (14) days from notification of the withdrawal decision.

Article 11 – Cancellation of Pre-order by SP-LOCOMOTION

11.1 SP-LOCOMOTION reserves the right to cancel a Pre-order, even after confirmation, in case of circumstances making production impossible. These include, but are not limited to: failure to reach the minimum number of Pre-orders required to launch production, abandonment of the production project, unexpected technical impossibility, or Force majeure.

11.2 In case of Pre-order cancellation by SP-LOCOMOTION, SP-LOCOMOTION will make every effort to inform the Client as soon as possible, and the Client will be fully refunded for amounts paid for the Pre-order, including any delivery fees. This refund will occur within a maximum of fourteen (14) days from notification of cancellation by SP-LOCOMOTION.

11.3 Cancellation of the Pre-order by SP-LOCOMOTION does not entitle the Client to any additional compensation or indemnity, regardless of the reason.

Article 12 - Warranties

12.1 Legal Warranty of Conformity

12.1.1 In accordance with the Belgian Economic Code, SP-LOCOMOTION is responsible to the Consumer Client for any lack of conformity existing at the time of delivery of the Products and appearing within two (2) years from delivery. During this period, the Client is entitled, at no cost, to repair or replacement of the non-conforming Product. When these solutions are impossible or disproportionate, the Client may request a price reduction or cancellation of the sales contract, except in case of minor defects.

12.1.2 The Consumer Client must report any lack of conformity as soon as possible and no later than two (2) months after discovery, by email to info@sp-locomotion.com. Within twelve (12) months of delivery, the defect is presumed to have existed at delivery, unless SP-LOCOMOTION provides contrary evidence. After this period, it is the Client’s responsibility to prove that the defect existed at delivery.

12.1.3 The costs of returning non-conforming Products, as well as costs related to delivery of the repaired or replaced Product, are borne by SP-LOCOMOTION. Any Product must be returned to SP-LOCOMOTION’s address:

12.1.5 The legal warranty of conformity provided in Article 12.1 does not apply in the following situations:

(i) in the absence of proof of purchase;

(ii) if the originally delivered complete Product is returned incomplete, missing accessories or original labels;

(iii) if the Product has been used non-conformingly, damaged, modified, or altered by the Client or an unauthorized third party;

(iv) when the defect results from an accident, negligence, poor maintenance, or normal wear and tear of the Product and/or its accessories (wheels, chains, sprockets, bearings, axles, screws, or batteries), whose performance gradually degrades over time and use.

VII. OTHER GENERAL CLAUSES

Article 13 – Intellectual Property

13.1 The Website, the Products, and all their constituent or associated elements (including, but not limited to, texts, images, photographs, drawings, mock-ups, videos, sounds, illustrations, databases, software, domain names, logos, trademarks, models, and any other content) are protected by the intellectual property rights in force held by SP-LOCOMOTION.

13.2 Specifically, SP-LOCOMOTION is the holder of Benelux trademark No. 1523597 "KoumKoum", registered with the Benelux Office for Intellectual Property (BOIP) on July 8, 2025, in classes 12 and 28 (hereinafter the "Trademark"). Any unauthorized use of this Trademark constitutes a violation of SP-LOCOMOTION's intellectual property rights.

13.3 These intellectual property rights are and remain the exclusive property of SP-LOCOMOTION or its contractual partners. Under no circumstances does placing a Pre-order or using the Website constitute granting the Client any intellectual property rights or usage license other than those strictly necessary for the execution of these General Terms and Conditions.

13.4 Any reproduction, communication, distribution, adaptation, translation, modification, or exploitation, in whole or in part, by any means and in any form, is strictly prohibited without prior written authorization from SP-LOCOMOTION.

13.5 The Client agrees to fully respect the intellectual property rights held by SP-LOCOMOTION and, in particular, not to alter the Trademark affixed to the Products.

Article 14 – Personal Data

14.1 SP-LOCOMOTION processes the following categories of personal data according to the purposes described below:

14.2 The Client is informed that their personal data are stored in secure and protected environments in accordance with best data protection practices.

14.3 The Client has, in accordance with the GDPR, the right to access, rectify, erase, restrict processing, object, and the right to data portability. These rights can be exercised by contacting SP-LOCOMOTION at the following address: info@sp-locomotion.com.

Article 15 – Liability

15.1 The Client is solely responsible for using the Products according to their intended purpose and the instructions in the user manual provided with the Product. SP-LOCOMOTION disclaims any liability for non-conforming use, misuse, modification, negligence, lack of maintenance, use with non-approved third-party accessories or equipment, or failure to follow safety instructions.

15.2 It is the Client’s responsibility to verify that use of the Product complies with laws and regulations in their country of residence (especially regarding public road use, certification, and road safety). SP-LOCOMOTION disclaims any liability for illegal use of the Product. No fines, sanctions, confiscation, or other measures imposed by a public authority will be covered by SP-LOCOMOTION and cannot justify a refund or replacement of the Product, except under the right to withdraw as provided in Article 10.

15.2 SP-LOCOMOTION, its managers, employees, affiliated companies, contractors, suppliers, and partners cannot under any circumstances be held liable for any bodily injury, material damage, fire, explosion or other accident, or any loss, claim or direct, indirect, incidental damages resulting from the Client's use of the Product as defined in Articles 15.1 and 15.2 of these General Terms and Conditions. Excluded, without limitation, are losses of revenue, profits or data, replacement costs, or any similar damages, whether resulting from misuse of the Products, information provided on the Website, or failure attributable to third parties.

VIII. MISCELLANEOUS

Article 16 – Entire Agreement

16.1 Unless otherwise agreed in writing, the Parties agree to exclude any other agreements or contractual conditions, including those communicated by mail, email, or on the back of another document, and including those not expressly contested by SP-LOCOMOTION.

Article 17 – Severability

17.1 The possible illegality or invalidity of an article, paragraph, or provision (or part of an article, paragraph, or provision) shall not affect the legality of the other articles, paragraphs, or provisions of these General Terms and Conditions, nor the remainder of such article, paragraph, or provision, unless contrary intention is evident in the text.

Article 18 – Amendments

17.1 SP-LOCOMOTION reserves the right to revise and amend these General Terms and Conditions at any time.

17.2 Each Pre-order will be governed by the General Terms and Conditions in effect at the time the Pre-order is placed. Any modification or update will be duly published on the Website and/or notified to the Client and will take effect immediately from the date of publication and/or notification for subsequent Pre-orders.

Article 19 – Evidence

19.1 The Parties expressly agree to accept electronic documents as evidence.

19.2 The entire Pre-order process, including Product selection, entry of contact details, confirmation of the Pre-order, and payment, constitutes irrefutable evidence of the Client's acceptance of these General Terms and Conditions and of the placement of the Pre-order.

19.3 Emails, electronic confirmations, and any other exchanges conducted through the Website or payment systems are also considered valid evidence of commitments made by the Parties.

Article 20 – Applicable Law and Jurisdiction

20.1 These General Terms and Conditions are exclusively governed by Belgian law.

20.2 In case of dispute, discussion and conciliation between SP-LOCOMOTION and the Client are preferred.

20.3 If no agreement can be reached, any dispute relating to the validity, interpretation, and/or execution of the General Terms and Conditions falls under the jurisdiction of the French-speaking Enterprise Court of Brussels.

20.4 Standard rules on jurisdiction allocation under the Belgian Judicial Code will apply to disputes involving Clients with Consumer status.
